In these terms, "Sia-OS" means Selgea BV/SRL acting under this trade name, and "the Client" means the business that orders a service.

Article 2. Scope

2.1. These terms apply to all services provided by Sia-OS: consulting, audit, compliance work, development, integration, hosted tools and subscriptions.

2.2. Sia-OS works exclusively with business clients. These terms are not intended for consumers.

2.3. The contractual documents apply in the following order of precedence: the signed specific agreement (for example the security audit agreement), then the accepted offer or purchase order, then these general terms and conditions. The Client's own general terms and conditions do not apply, even if they appear on its purchase orders.

Article 3. Offer and order

3.1. Sia-OS offers are made in writing and are valid for 30 days, unless stated otherwise.

3.2. The order is concluded by the written acceptance of the offer (signature, electronic signature or email), or by payment of the first instalment.

3.3. The prices, scope, duration and schedule of each service are those of the accepted offer.

Article 4. Performance of services

4.1. Sia-OS performs its services with the care of a professional. Unless otherwise agreed in writing in the offer, its obligations are best-efforts obligations.

4.2. Services are provided during business hours, Monday to Friday, excluding Belgian public holidays. No on-call service outside these hours is owed unless expressly stated in the offer.

4.3. The Client provides the necessary access, information and contact persons in good time. Any delay on its side postpones the Sia-OS deadlines accordingly.

4.4. No active security testing (vulnerability scanning, penetration testing, simulated phishing) is carried out without a written agreement signed in advance that defines the authorised scope.

4.5. Sia-OS may use subcontractors to perform part of the services. It remains responsible to the Client for their work.

Article 5. Subscriptions

5.1. A subscription runs for an initial term of 12 months from the start date stated in the offer.

5.2. At the end of the term, the subscription is automatically renewed for a new period of 12 months, unless terminated by either party.

5.3. Either party may terminate the subscription in writing (by email to contact@sia-os.com for the Client), no later than one month before the end of the current period. Termination takes effect at the end of that period.

5.4. Termination before the end of the period, other than in the case of Article 11, does not release the Client from the amounts due until the end of the current period.

5.5. Subscription prices may be revised at each renewal. Sia-OS informs the Client in writing at least two months before the end of the period. A Client who refuses the revision may terminate without charge at the end of that period.

Article 6. Prices

6.1. Prices are expressed in euros, excluding VAT. VAT and any other applicable taxes are added at the current rate.

6.2. Travel, equipment, licence or storage costs not included in the offer are invoiced in addition, with the Client's agreement.

Article 7. Invoicing and payment

7.1. Invoices are issued in a structured electronic format, via the Peppol network, in accordance with Belgian regulations. A PDF copy may be attached.

7.2. Subscriptions. They are invoiced in advance, at the start of each monthly or annual period, according to the option chosen in the offer. Annual payment in advance entitles the Client to the discount stated in the offer. Payment is made by SEPA Direct Debit, by card or by Bancontact, through the payment service provider Stripe, and for this purpose the Client signs a direct debit mandate or registers a payment method.

7.3. Other services. They are payable by bank transfer within 15 days of the invoice date, unless stated otherwise in the offer. For a long engagement, the offer may provide for a deposit on ordering.

7.4. Any invoice unpaid on its due date automatically, and without formal notice, gives rise to:

7.5. A direct debit that is rejected, or disputed without valid grounds, is treated as an unpaid invoice. The resulting bank charges are borne by the Client.

Article 8. Suspension for non-payment

If an invoice remains unpaid 15 days after a written reminder, Sia-OS may suspend all or part of its services until payment in full. During the suspension, the subscription remains payable. Suspension does not prevent termination under Article 11.

Article 9. Refunds

9.1. A subscription period that has started is not refunded, whether or not the Client uses the service.

9.2. If Sia-OS ends a service on its own initiative, or cannot provide it for a reason attributable to it, it refunds the Client the prepaid portion corresponding to the period not served.

9.3. A refund request is sent in writing to contact@sia-os.com. The refund is made using the payment method used, within 30 days of approval.

Article 10. Liability

10.1. Sia-OS is liable for direct damage caused by its fault in performing the services. Its total liability is limited to the amount paid by the Client in the 12 months preceding the event giving rise to the damage.

10.2. Sia-OS is not liable for indirect damage, in particular loss of profit, loss of clients or damage to reputation.

10.3. Sia-OS is not liable for damage caused by the Client's failure to meet its obligations (Article 4.3), nor for a disruption resulting from a pre-existing weakness revealed by a check carried out within the authorised scope.

10.4. These limitations do not apply in the event of wilful misconduct, gross negligence or failure to perform an essential obligation of the agreement.

Article 11. Termination for breach

11.1. Either party may terminate the agreement, without court intervention, if the other party commits a serious breach that it does not remedy within 30 days of a written formal notice.

11.2. Services performed up to the date of termination remain payable.

Article 12. Force majeure

Neither party is liable for a failure caused by an unforeseeable and irresistible event beyond its control. If the force majeure lasts more than 60 days, either party may terminate the agreement in writing, without compensation.

Article 13. Confidentiality

Each party keeps confidential the non-public information received from the other party, for the duration of the agreement and for 2 years after it ends. Security findings concerning the Client remain confidential without time limit.

Article 14. Personal data

14.1. When Sia-OS processes personal data on behalf of the Client, it acts as a processor within the meaning of Article 28 of the GDPR. A data processing agreement is then attached to the offer or to the specific agreement.

14.2. The personal data of the Client's contact persons is processed by Sia-OS in accordance with its privacy policy, published on sia-os.com.

14.3. Payment data is processed by the payment service provider Stripe. Sia-OS does not store any card number.

Article 15. Intellectual property

15.1. The Client receives the right to use the paid deliverables (reports, procedures, configurations) for its internal needs.

15.2. For custom development, the offer specifies the option chosen: a licence to use, or assignment of the source code to the Client.

15.3. Sia-OS retains its tools, methods, templates and general know-how, and may reuse them for other clients, without including any confidential information of the Client.

Article 16. Amendments to these terms

16.1. The applicable version of the general terms and conditions is the one in force on the date of the order.

16.2. For a subscription in progress, a new version is notified to the Client in writing at least one month before renewal. It applies to the following period. A Client who refuses it may terminate without charge at the end of the current period.

Article 17. Governing law and disputes

17.1. The agreement is governed by Belgian law.

17.2. The parties first seek an amicable solution. Failing this, the dispute is submitted to the courts of the judicial district of Brussels.

Article 18. Language

These terms are available in French, Dutch and English. In the event of any discrepancy, the French version prevails.
